By using the www.gottakeepup.com web site (the “Service”), a service of Keep Up LLC (“KeepUp”), you are agreeing to be bound by the following terms and conditions (“Terms of Use”). We reserve the right to modify these Terms of Use at any time, so please review it frequently. If we make any material change, we will notify you here, by email, or by means of a notice on our home page.

The contents and templates of the Service, such as text, graphics, images, links to affiliate vendors, and other material contained on the Site ("Content") are for informational purposes only. The Content is not intended to be a substitute for professional medical, legal, financial or construction advice. Account Terms

1. You must be 13 years or older to use the Service.
2. You must be a human. Accounts registered by “bots” or other automated methods are not permitted.
3. You must provide a valid email address, and any other information requested in order to complete the signup process.
4. You are responsible for maintaining the security of your account and password. KeepUp cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
5. You are responsible for all Content in public areas (such as forums and vendor feedback) posted and activity that occurs under your account (even when Content is posted by others who are sharing your pages).
6. You are responsible for all third party fees you may incur in connection with your receipt of reminders, including, but not limited to use fees for email, fax, text and voice messages.

User Conduct

1. Modify, adapt or hack the Service or modify another website so as to falsely imply that it is associated with the Service, KeepUp, or any other KeepUp service.
2. Reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by KeepUp.
3. Post content or initiate communications which are unlawful, libelous, abusive, obscene, discriminatory, or otherwise objectionable.
4. Use the Service for any illegal purpose, including but not limited to conspiring to violate laws.
5. Upload, post, email, transmit or otherwise make available any content or initiate communications which include information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
6. Upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
7. Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail", "spam", "chain letters", "pyramid schemes", or any other form of solicitation.
8. Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

Account Termination

You agree that KeepUp may, with or without cause, immediately terminate your KeepUp account and access to the Service without prior notice. Without limiting the foregoing, the following will lead to a termination by KeepUp of a user's use of the Service (a) breaches or violations of these Terms of Use or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account termination), (d) unexpected technical issues or problems, and (e) extended periods of inactivity. Termination of your KeepUp account includes removal of access to all offerings within the Service and may also bar you from further use of the Service. Furthermore, you agree that all terminations shall be made in KeepUp's sole discretion and that KeepUp shall not be liable to you nor any third-party for any termination of your account or access to the Service.

Should your account be terminated, you will be required to reestablish an account, and KeepUp cannot guarantee that prior tasks will be saved and accessible from prior account usage.

Appointment Pro Subscription

KeepUp retains the right to cancel a subscription at any time, in which case you will only be charged for the time in which the subscription was in effect. KeepUp retains the right to increase the price of the subscription not more than 25% in any year; in this case, KeepUp must give you reasonable notice and you will have the right to terminate the subscription if you do not accept the price increase.

Appointment Pro subscribers are responsible for the content of the emails, text messages and/or voice messages sent to their customers via the Appointment Pro Service. Any use of the Service for spam or unsolicited communications may result in immediate termination of the subscription without refund.

The rights granted under these Terms of Use are granted to you only and cannot be assigned.

If you are an organization, a subscription allows one individual within your organization to exercise the rights granted by these Terms of Use. If multiple individuals within your organization require access, a subscription must be purchased for each individual.

Refund Policy

KeepUp aims to provide high quality service and technical support. We are eager to answer any questions and otherwise assist you in determining why your computer is unable to fully utilize the website's features. Our technical support will respond to your requests by email as soon as possible during our regular business hours.

If we are not able to resolve your technical difficulties, refund requests for annual subscriptions may be made within 14 days of the purchase of the subscription. Refunds will be made within 5 business days of the request.

Indemnity

You agree to indemnify and hold KeepUp, its directors, officers and employees, harmless from any claim, demand, or damage, including legal fees, asserted by any third party due to or arising out of the your use of or conduct on the website, including, but not limited to, any fees incurred by recipients of your reminders, such as use fees for email, fax, text and voice messages.

Jurisdiction

The Terms of Use are governed by the laws of the Commonwealth of Virginia in the United States. You consent to the exclusive jurisdiction of the courts of Fairfax County, Virginia, USA.

Monitoring and Enforcement

While we have the right to monitor activity and content on the website, we are not obligated to do so. And since we do not, and may not have the ability to, control or actively monitor content, we do not guarantee its accuracy, integrity or quality. Because community standards vary and individuals sometimes choose not to comply with our policies and practices in the process of using our website, you may be exposed to content that you find offensive or objectionable. Please contact us at support@gottakeepup.com to let us know of content that you find objectionable. We may investigate the complaints and violations of our policies that come to our attention and may take any action that we believe is appropriate, including, but not limited to issuing warnings, removing the content or terminating accounts and/or subscriptions. However, because situations and interpretations vary, we also reserve the right not to take any action. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website.

Ownership of Content

If you make any submission to a Service or if you submit any business information, idea, concept or invention to KeepUp, you automatically grant or warrant that the owner of such content or intellectual property has expressly granted KeepUp a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or content in any media or medium, or any form, format, or forum now known or hereafter developed. If you wish to keep any business information, ideas, concepts or inventions private or proprietary, do not submit them to the Service or to KeepUp.

Except as expressly provided in these Terms of Use, we are not responsible for any loss, injury, claim, liability, damage, or consequential damage related to your use of the Service, or for inaccessibility of the Service or any other linked sites or for any other reason.

General Conditions

1. Technical support is only provided to account holders and is only available via email.
2. You understand that the technical processing and transmission of the Service, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
